These Terms of Service ("Terms") are a legal agreement between you ("you," "your," or "User") and FreeQR ("we," "us," or "Provider"). By creating an account or using the FreeQR platform at freeqr.com (the "Service"), you agree to these Terms.
If you do not agree, do not use the Service.
1. Definitions
- Service -- The FreeQR platform, including the website, QR code generator, landing page builder, analytics dashboard, and all related features.
- Account Holder -- A person or organization that creates a FreeQR account.
- End User -- A person who scans a QR code or visits a landing page created through FreeQR.
- User Content -- Any content you upload, create, or publish through the Service, including text, images, videos, audio, files, and landing page configurations.
- Free Plan -- The no-cost tier of the Service, which includes advertising on landing pages.
- Paid Plan -- Any subscription tier that requires payment, as described on our pricing page.
- Guest Account -- A temporary, unauthenticated session created when you use the Service without signing up.
2. Eligibility
You must be at least 13 years old (or 16 in jurisdictions where that is the minimum age) to use the Service. By creating an account, you confirm that you meet this age requirement.
If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
3. Account Registration and Security
3.1. Creating an Account
FreeQR supports two login methods: one-time password (OTP) via email and traditional password. You can use either method, or both.
You are responsible for:
- Maintaining the security of the email account used for OTP authentication.
- Keeping your password confidential, if you choose to set one.
- Not sharing OTP codes or passwords with anyone.
- Notifying us immediately at [email protected] if you suspect unauthorized access to your account.
3.2. Guest Accounts
You can create QR codes without signing up. If you later create an account, you can claim your guest-created content by verifying your email address. Guest accounts that are not claimed within 90 days may be deleted along with their associated content.
3.3. Account Recovery
If you lose access to your authentication email, account recovery requires verification of ownership through alternative means (such as billing information or support verification). Recovery may take 3-5 business days.
3.4. One Account Per Person
Each person or organization should maintain one account. We reserve the right to merge or remove duplicate accounts.
4. Use of the Service
4.1. What You Can Do
With the Service, you can:
- Create static and dynamic QR codes
- Build and publish landing pages linked to your QR codes
- Upload content to your landing pages (text, images, videos, audio, files, forms, embeds)
- View scan analytics for your QR codes
- Customize QR code designs and landing page appearance
4.2. Acceptable Use
You agree to use the Service in compliance with all applicable laws and our Acceptable Use Policy ("AUP"). The AUP describes in detail what content and activities are prohibited, including rules specific to landing pages, QR codes, data collection, and the Free Plan.
The AUP is part of these Terms. Violating the AUP may result in content removal, account suspension, or termination as described in Section 12.
4.3. Landing Pages Are Public
Landing pages created through FreeQR are publicly accessible to anyone with the URL or QR code. You are solely responsible for the content you publish and for complying with applicable privacy laws when collecting data from End Users through landing page forms. See the AUP for specific content standards and restrictions for landing pages.
5. Plans and Pricing
5.1. Free Plan
The Free Plan provides access to the Service at no cost, subject to usage limits described on our pricing page. Landing pages created on the Free Plan display advertisements. We may update Free Plan features and limits with 30 days' notice.
By using the Free Plan, you agree that we may display advertising on your landing pages.
5.2. Paid Plans
Paid Plans remove advertising and provide additional features and higher usage limits as described on our pricing page. Paid Plan features and pricing may change. We will notify existing subscribers at least 30 days before any price increase takes effect. Your current pricing is locked until the end of your billing period.
5.3. Plan Limits
Each plan has specific limits (such as the number of dynamic QR codes, scan limits, and analytics retention). Current limits are listed on our pricing page. If you exceed your plan limits, we will notify you and may ask you to upgrade or reduce usage.
Plan limits and included features are subject to change. We will notify you by email at least 7 days before any changes to your plan's limits take effect.
6. Billing, Cancellation, and Refunds
6.1. Payment Processing
All payments are processed by our authorized payment provider, who may act as the Merchant of Record for FreeQR. This means:
- The payment provider may be the legal seller of your subscription.
- The payment provider handles payment processing, invoicing, sales tax, VAT, and GST.
- The payment provider's name (not FreeQR) may appear on your bank or credit card statement.
- By purchasing a Paid Plan, you agree to the payment provider's terms of sale.
We do not store your payment card details. All payment data is handled by the payment provider.
6.2. Subscription Billing
- Paid Plans are billed on a recurring basis (monthly or annually, depending on your selection).
- Subscriptions renew automatically at the end of each billing period unless you cancel.
- You authorize the payment provider to charge your payment method for each renewal.
6.3. Cancellation
You can cancel your subscription at any time through your account settings or the payment provider's customer portal.
Cancel at period end: Your subscription remains active until the end of your current billing period. You will not be charged again. This is the default cancellation method.
Cancel immediately: Your access to Paid Plan features ends immediately. This does not automatically result in a refund.
After cancellation, your account reverts to the Free Plan. Your QR codes and landing pages remain accessible, but Paid Plan features (such as ad-free landing pages) will no longer apply.
6.4. Refunds
Refunds are governed by our Refund Policy. See the Refund Policy for eligibility, timelines, and how to request a refund.
6.5. Price Changes
We may change Paid Plan prices. Price changes apply to new subscriptions immediately. For existing subscribers, we will provide at least 30 days' notice before the new price takes effect at your next renewal.
6.6. Payment Disputes
For billing questions or payment disputes, contact us at [email protected]. We will work with you and the payment provider to resolve the issue.
7. Intellectual Property
7.1. Your Content
You retain full ownership of all User Content you upload or create through the Service. We do not claim ownership of your content.
By uploading User Content, you grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and distribute your content as necessary to provide the Service. This license exists solely to operate the Service on your behalf and terminates when you delete your content or your account (subject to the data retention periods in our Privacy Policy).
7.2. Your Responsibilities
You represent and warrant that:
- You own or have the necessary rights to all User Content you upload.
- Your User Content does not infringe the intellectual property rights of any third party.
- Your User Content complies with all applicable laws and our Acceptable Use Policy.
7.3. Our Platform
FreeQR and its underlying technology, design, documentation, and branding are owned by us. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described here.
You may not copy, modify, reverse-engineer, or create derivative works based on the Service.
7.4. Aggregated Data
We may use anonymized, aggregated data (such as overall scan trends and platform usage patterns) to improve the Service. This data cannot be used to identify you or your End Users.
8. Copyright and DMCA
We respect intellectual property rights and respond to copyright infringement notices in accordance with the Digital Millennium Copyright Act (DMCA).
8.1. Filing a Takedown Notice
If you believe content on a FreeQR landing page infringes your copyright, send a written notice to our designated agent at [email protected] with the following information:
- Your contact information (name, address, phone number, email)
- Identification of the copyrighted work being infringed
- The specific URL(s) of the allegedly infringing content on FreeQR
- A statement that you believe in good faith that the use is unauthorized
- A statement under penalty of perjury that the information in your notice is accurate and that you are the copyright owner or authorized to act on their behalf
- Your physical or electronic signature
8.2. Our Response
Upon receiving a valid takedown notice, we will:
- Remove or disable access to the allegedly infringing content promptly
- Notify the Account Holder who published the content
- Provide the Account Holder with information about how to submit a counter-notice
8.3. Counter-Notices
If your content was removed and you believe it was removed in error, you may submit a counter-notice to [email protected] with the required information as outlined in the DMCA. We will forward your counter-notice to the original complainant and restore the content within 10-14 business days unless the complainant files a court action.
8.4. Repeat Infringers
We terminate the accounts of users who are repeat copyright infringers. Three valid takedown notices against an account may result in permanent suspension.
9. QR Codes and Short URLs
9.1. Static QR Codes
Static QR codes encode data directly in the QR code image. They are generated on your device and are not stored on our servers. Static QR codes do not expire.
9.2. Dynamic QR Codes
Dynamic QR codes use a short URL (such as freeqr.link/abc123) that redirects to your landing page. You can update the destination at any time without changing the QR code itself. Dynamic QR codes require an active account.
9.3. Short URL Lifecycle
Short URLs assigned to your dynamic QR codes remain active for the duration of your account. After account deletion:
- Short URLs are retained for 30 days to allow account recovery.
- After 30 days, short URLs may be recycled and reassigned.
- We are not responsible for any loss of access or brand association due to URL recycling after deletion.
9.4. QR Code Placement
You are solely responsible for where and how you use your QR codes. We are not liable for any harm resulting from QR code placement, including codes placed in unsafe locations or codes that become unreadable due to size, material, or environmental conditions.
10. Service Availability
10.1. Uptime
We aim for 99.5% monthly uptime, measured as the percentage of time the Service is accessible and functional during each calendar month. This excludes:
- Scheduled maintenance (announced at least 48 hours in advance)
- Force majeure events (natural disasters, wars, pandemics, government actions)
- Issues caused by your internet connection, device, or third-party services
- Suspension of your account due to a Terms violation
10.2. Service Credits (Paid Plans Only)
If monthly uptime falls below our target, paid subscribers may request a service credit:
| Monthly Uptime | Service Credit |
|---|---|
| 99.0% - 99.49% | 5% of monthly fee |
| 98.0% - 98.99% | 10% of monthly fee |
| Below 98.0% | 25% of monthly fee |
Credits must be requested within 30 days of the incident. Credits are applied to your next invoice. Service credits are our sole remedy for uptime failures. Free Plan users are not eligible for service credits.
10.3. Maintenance and Updates
We may perform maintenance, updates, and improvements to the Service. We will announce scheduled maintenance at least 48 hours in advance through our status page (status.freeqr.com) and, when possible, schedule maintenance during low-usage hours.
11. Privacy and Data Protection
Your use of the Service is also governed by our Privacy Policy, which describes what data we collect, how we use it, and your rights.
11.1. Your Role as Data Controller
When you collect personal data from End Users through landing page forms, you act as the data controller for that data. You are responsible for:
- Having a lawful basis to collect End User data
- Providing End Users with a privacy notice
- Complying with applicable data protection laws (such as GDPR and CCPA)
FreeQR acts as a data processor for personal data collected through your landing page forms. A Data Processing Agreement (DPA) is available upon request at [email protected].
11.2. Analytics Data
We collect scan analytics data (such as scan timestamps, approximate location, device type, and browser) to provide the analytics features of the Service. This data collection is described in our Privacy Policy.
12. Suspension and Termination
12.1. Suspension by Us
We may suspend your account immediately and without prior notice for severe violations, including:
- Fraud, abuse, or illegal activity
- Content that poses an immediate risk to the safety or rights of others
- Material violation of the Acceptable Use Policy (such as malware, phishing, or CSAM)
- Account compromise where suspension is necessary to protect it
For minor and moderate violations, we follow the tiered enforcement process described in the Acceptable Use Policy, which includes warnings and time to resolve issues before suspension.
12.2. Termination by Us
We may terminate your account if:
- You materially breach these Terms or the AUP and do not resolve the breach within 30 days of notice
- Your account is suspended and the underlying issue is not resolved within a reasonable time
- You are a repeat copyright infringer (see Section 8.4)
- You are a repeat AUP violator (see the Acceptable Use Policy for details)
12.3. Termination by You
You can close your account at any time through your account settings or by contacting [email protected]. Account closure is treated as cancellation of any active subscription (see Section 6.3).
12.4. Effect of Termination
Upon termination:
- Your access to the Service ends.
- Your User Content is retained for 30 days to allow you to export your data.
- After 30 days, your User Content may be permanently deleted.
- Short URLs associated with your dynamic QR codes may be recycled after 30 days.
- Any licenses you granted us terminate, except as needed to complete the 30-day retention period.
- Termination for breach does not entitle you to a refund of prepaid fees.
13. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
Specifically, we do not warrant that:
- The Service will be uninterrupted or error-free (our uptime commitment is described in Section 10)
- User Content published by other users is accurate, lawful, or safe
- QR codes will be scannable in all conditions (size, material, lighting, and device compatibility affect readability)
- Third-party services integrated with the Service will remain available
14. Limitation of Liability
14.1. Liability Cap
To the maximum extent permitted by law, our total liability for any claims arising from or related to these Terms or the Service is limited to the total fees you paid us in the 12 months preceding the claim. For Free Plan users, our total liability is limited to $50 USD.
14.2. Excluded Damages
We are not liable for any indirect, incidental, special, consequential, or punitive damages, including:
- Lost profits or revenue
- Lost data or content
- Business interruption
- Cost of substitute services
14.3. Exceptions
These limitations do not apply to liability arising from:
- Our willful misconduct or gross negligence
- Our breach of data protection obligations
- Death or personal injury caused by our negligence
- Fraud
- Any liability that cannot be excluded by applicable law
15. Indemnification
You agree to indemnify and hold us harmless from any third-party claims, damages, or expenses (including reasonable legal fees) arising from:
- Your User Content
- Your violation of these Terms or the Acceptable Use Policy
- Your violation of applicable law
- Your collection or handling of End User data through landing page forms
16. Changes to These Terms
We may update these Terms from time to time. When we make changes:
- We will update the "Last Updated" date at the top of this page.
- For material changes, we will notify Account Holders by email at least 30 days before the changes take effect.
- Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
- If you do not agree to the updated Terms, you may close your account before the changes take effect.
17. General Provisions
17.1. Governing Law
These Terms are governed by the laws of Singapore, without regard to conflict of law principles. This choice of law does not override mandatory consumer protection laws that apply in your jurisdiction.
17.2. Dispute Resolution
We encourage you to contact us at [email protected] before pursuing formal legal action. Most issues can be resolved through direct communication.
If a dispute cannot be resolved informally, it will be submitted to the courts of Singapore. Consumers in the European Union retain the right to bring disputes in their local courts where applicable law requires it.
17.3. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full effect.
17.4. Entire Agreement
These Terms, together with our Privacy Policy and Acceptable Use Policy, constitute the entire agreement between you and FreeQR regarding the Service. They supersede all prior agreements and understandings.
17.5. No Waiver
Our failure to enforce any provision of these Terms does not waive our right to enforce it later.
17.6. Assignment
You may not assign your rights under these Terms without our written consent. We may assign our rights and obligations (for example, in connection with a merger or acquisition) with notice to you.
